If you are a foreign business with no local directors to designate, you can locate a candidate on your own or through professional firms, or you can appoint your own Singapore-hired personnel as your firm’s director if it suits your needs.
- Company Secretary – You must select a competent company secretary within 6 months of your company’s establishment, as required by Section 171 of the Singapore Companies Act. If your business just has one director or shareholder, you’ll need to select a natural person to act as the company secretary.
- Shareholders – A Singapore private limited company can have as few as one shareholder and as many as 50. Individuals, other legal entities, such as your BVI corporation, and trusts can all be shareholders. Singapore private limited businesses are authorized to have 100 percent foreign ownership.
- Registered business address – As the company’s registered address, a local Singapore address is required.
- Capital – The minimum paid-up or share capital required to start a business in Singapore is $1, implying that a small investment is required. You may always begin with $1 and increase it at any moment after incorporation.
